Agreement to Terms of Use

The purpose of the websites is as follows: (1) display of travel-related and brand information; (2) the sharing of third-party experiences regarding travel; and (3) allowing guests and potential guests to book hotel accommodations with participating Red Roof Inn locations. These websites include: www.redroof.com, www.gomoregobetter.com and www.redrooffranchising.com (collectively, our "Websites"). These Websites are controlled and operated from the United States of America and are subject to United States law. Throughout the Websites, the terms "we", "us" and "our" refer to Red Roof. The term "You," "Your" and "User" refers to the individual accessing the Websites. All capitalized terms are defined herein.

Red Roof also reserves the right, in its sole discretion, to change and/or modify portions of these Terms of Use at any time without notice and, unless otherwise indicated, such changes will become effective immediately upon posting. Please check these Terms of Use periodically for changes or modifications, effective as of the date first shown above.

The Websites are designed for persons 18 years of age or older. If You have agreed to allow Your minor child or a child for whom You are legal guardian (a "Minor") to register for any product or service on the Websites, then You are acknowledging and agreeing that You shall be solely responsible for: (1) the online conduct of such Minor; (2) monitoring such Minor's access to and use of the Websites; and (3) the consequences of any use of the Websites by such Minor. If You permit use of the Websites by a Minor, You may not provide or allow Your child to provide any personally identifying information or data from or concerning a child less than 13 years of age.

The Websites are owned and operated by Red Roof or a subsidiary controlled by Red Roof. The information contained on the Websites is proprietary and/or copyrighted material of the respective owner (collectively, the "Information") and protected by these Terms of Use, and the other terms and conditions governing the Websites and by the laws of the fifty (50) states, as well as the federal government of the United States of America. All logos, page headers, custom graphics, images, buttons, graphics, icons, symbols, trade names, trademarks, service marks, and other names, descriptions, brands and marks found at the Websites or in the Information (the "Trademarks"), whether registered or not, are owned by or licensed to Red Roof. Such Trademarks are subject to and protected by the law of the United States, including those specifically addressing rights of trademark owners. In addition, the hardware and software components, electronically-stored databases and individual items within those databases that comprise the computer networks and systems that operate any Website and are used to make Information available at any Website also belong to or are licensed to Red Roof and also are proprietary.

You acknowledge that permission to access and use the Websites does not grant or transfer any title or ownership rights or interests in any Information, including the Trademarks.

You may only create a link from your personal computer or website to the respective Website's home page for the purpose of making a reservation, enrolling in one of our programs, or obtaining information on Red Roof and its business. This limited right to link does not create any relationship between You and Red Roof (whether contractual or otherwise). Unless expressly stated in a written agreement between You and Red Roof, You are prohibited from charging, and Red Roof shall not be obligated to pay any fees charged in connection with the use of a link. Your link may not, however, use any Trademarks or Information owned by or licensed to Red Roof.

You agree that you will make only legitimate reservations in good faith for use by you and your invited guests only and not for other purposes, including, but not limited to, reselling, impermissibly assigning or posting on third-party websites, making speculative, false or fraudulent reservations or any reservation in anticipation of demand.

By accessing the Website and agreeing to these Terms of Use, Red Roof hereby grants You a limited, non-exclusive, non-assignable, non-transferable, revocable license to access and use the Information for the limited purposes expressly permitted by these Terms of Use. You may view, display, download into the memory of Your own personal computer; provided, however, (1) that You do so only for purposes of receiving, accessing, analyzing and using the Information made available at this Website in accordance with these Terms of Use, for Your personal, non-commercial use only; and (2) that You do not remove, alter, change, obscure or delete any copyright, trademark or other proprietary notice or legal notices in or on any portions of this Website.

If, at any time, Red Roof requires registration in order to access or use any areas or Information at this Website, You agree to: (1) provide true, complete, accurate and current data, as requested in the registration process (the "Registration Data"); (2) maintain and update the Registration Data promptly as required herein; (3) prevent unauthorized access or use by You or others by using Your user identification number and/or passwords; (4) promptly report any unauthorized use or disclosure of Your password or other breach of any Website security; and (5) not assign or transfer (or attempt to do the same) any rights granted to You under these Terms of Use. Red Roof reserves the right to suspend, and/or to refuse any further access or use of any Website or Information, if Red Roof learns or reasonably suspects that Your Registration Data is false or inaccurate, if You refuse to provide complete and updated registration information, or You misuse or permit another to use Your password who is not authorized to do so.

You acknowledge and agree that Red Roof has no obligation, but reserves the right, to monitor activity on any Website, and may do so from time to time, for operational, compliance, or other purposes. You expressly agree to such monitoring by accessing any Website. During monitoring, all User information may be examined, recorded, copied, and used for authorized purposes in accordance with these Terms of Use and Red Roof's Privacy Policy. As a condition of Your rights to access or use the Websites, You must use the Websites and all Information found at the Websites for lawful purposes only and only as expressly permitted in this Agreement. (4) Post, submit, upload, e-mail or otherwise transmit any content, material or other thing at, to or through any Website that (i) infringes or violates the rights of others, including without limitation, copyright, trademark, trade secret or other intellectual property and proprietary rights, privacy or publicity rights; or (ii) has an advertising, marketing, promotional or other business or commercial purpose.

You shall be solely liable for any lawsuits, claims, proceedings, actions, harm and other liability, or any damages, losses, expenses, fees (including reasonable attorney's fees and expenses), judgments, awards, penalties, settlement amounts, fines, or other costs associated therewith (collectively, "Damages") resulting from use or any misuse of any Website or Information, including without limitation, violation of the restrictions, limitations and conditions upon use and infringement of copyright, trademark or other proprietary right, and any other Damages. You expressly indemnify Red Roof, its subsidiaries and affiliates, directors, officers and employees for any costs and expenses (including attorney's fees) related to any lawsuit or action arising out of Your use of any Website.

This Website may point or link to other websites or to web pages or documents hosted on other websites ("Linked Websites"). None of the links create or constitute, nor are they intended to create or constitute, any legal affiliation or relationship with or endorsement of any other person or entity. Red Roof does not own or control the Linked Websites and is not the author or owner of any information posted on the Linked Websites. Accordingly, Red Roof cannot represent or guarantee that the Linked Websites will be accessible, functional, or operational. Therefore, Red Roof is not liable to You for any Damages related to Your use of any Linked Website.

You are solely responsible for providing, maintaining, supporting, operating, and paying for all equipment, operating systems, browsers, applications, and other hardware, software, and system components, as well as telephone, cable, or data communications lines and connections, that are necessary to access and use any Website. Red Roof reserves the right to refuse assistance to or to charge additional fees if You seek assistance from Red Roof regarding use of Your system or equipment or basic background computer or Internet-use information or any other matters not directly related to the operation of any Website.

Your rights to use any Website terminate immediately upon Your violation of any of the terms, conditions, or restrictions stated in these Terms of Use, without the necessity of Red Roof sending You notice or otherwise advising You of Your loss of rights. Termination or cancellation of these Terms of Use shall not affect any right or relief to which Red Roof may be entitled, at law or in equity.

If Red Roof brings a lawsuit, claim or other proceeding against You to enforce any of these Terms of Use ("Claim"), Red Roof shall be entitled to recover from You (and You agree to pay), in addition to all Damages that may be awarded, reasonable and necessary attorney's fees and any costs of litigation. These Terms of Use shall be governed by the laws of the State of Ohio, and the parties expressly agree that any Claim arising out of these Terms of Use may be brought in the state or federal courts located in Franklin County, Ohio. You agree to submit to the personal jurisdiction of such courts and hereby appoint the Secretary of the State of Ohio as Your agent for service of process. If any provision of this Agreement is found to be unlawful or unenforceable in any respect, the court shall reform such provision so as to render it enforceable (or, if it is not possible to reform such provision so as to make it enforceable, then delete such provision); and, as so reformed or modified, fully enforce these Terms of Use.

You are responsible for obtaining and securing, and shall obtain and secure, any and all authorizations, licenses and permits required by any United States or foreign governmental or judicial authority in connection with use of any Website, including, without limitation, for the export of any data, software, documents, technology or other matter subject to export control laws and regulations or any governmental authority. Unless otherwise specified, the Information found at or accessible through any Website is presented solely to provide data regarding Red Roof and to promote Red Roof properties and, as applicable, third-party provider products/services available in the United States, its territories, possessions and protectorates. This Website is controlled and operated by Red Roof from its offices within the State of Ohio, the United States of America.
